Accredited-Investor Verification Data
If you express interest in a Lumenuity, Inc. securities offering, we (or a third-party verification service we engage) may collect information necessary to verify your status as an “accredited investor” under Rule 501 of Regulation D, as required by Rule 506(c) of Regulation D. Depending on the verification method, this may include:
- Recent W‑2 forms, IRS Form 1099, or comparable income evidence;
- Brokerage, bank, or other financial-institution statements evidencing net worth;
- A signed verification letter from a registered broker‑dealer, investment adviser, licensed attorney, or certified public accountant; or
- A self-attestation made on a confidential investor questionnaire, supported by additional documentation.
Use. Verification information is used solely to confirm accredited-investor status and to satisfy Lumenuity, Inc.’s record-keeping obligations under U.S. securities laws.
Sharing. Verification information is shared only with personnel and agents (including our outside counsel, transfer agents, and a third-party verification provider, if engaged) who require it to complete or document the verification, and as required by law.
Retention. We retain verification records for the longer of (a) the period required by applicable U.S. federal and state securities laws or (b) five years after the closing of the relevant offering, after which records are securely destroyed unless a longer retention period is required by law or by ongoing regulatory inquiry.
Your choices. Providing verification information is voluntary; however, Lumenuity, Inc. cannot accept a subscription from a person whose accredited status has not been reasonably verified.
Children's Privacy
This website is not directed to children under the age of 13 (or under 16 in the EEA / UK), and we do not knowingly collect personal information from children. If you believe a child has provided us with personal information, please contact us so we can delete it.
